Consultant’s General Conditions – Turnkey Project Documentation
These general conditions define the terms under which Dr. E. Ramanathan, Paint Consultant (Saitech Informatics) provides consultancy and documentation services for turnkey paint manufacturing projects.
1. Scope of Services
- The Consultant provides documentation and advisory support for all stages of paint plant setup, including feasibility, DPR, design & engineering, civil documentation, procurement, commissioning, regulatory approvals, and final handover.
- The Consultant’s role is advisory/documentation; execution of civil works, machinery purchase, installation, and regulatory filings remain the responsibility of the Client unless otherwise agreed under a turnkey contract.
2. Consultancy Fee
- Consultancy/documentation fees are as per the agreed schedule (stage-wise or turnkey package).
- Fees cover professional services and documentation deliverables only.
- Government fees, license charges, machinery/equipment costs, raw materials, utilities, and contractor payments are not included.
3. Travelling, Boarding & Lodging (TBL)
- All TBL expenses incurred by the Consultant for site visits shall be borne by the Client.
- Local visits (within 100 km) may be charged at nominal reimbursement.
- Outstation visits shall be arranged in economy/AC class travel and minimum 3-star accommodation.
4. Payment Terms
- Documentation fees should be paid in advance for each stage.
5. Client Responsibilities
- Provide timely access to project site, statutory records, and necessary documents.
- Make prompt payments to vendors, contractors, and statutory authorities.
- Ensure compliance with all statutory and regulatory obligations.
- Appoint a single-point coordinator for communication with Consultant.
6. Deliverables
- Deliverables include digital reports, drawings, manuals, checklists, and templates in Word/PDF format unless otherwise agreed.
- Consultant’s documents are for exclusive use by the Client and not transferable to third parties.
7. Confidentiality
- All project-related information shall remain confidential.
- Neither party shall disclose details to third parties without written consent.
8. Validity
- Consultancy/documentation engagement is valid for six (6) months unless extended by mutual agreement.
9. Limitation of Liability
- Consultant’s liability is limited to the value of professional fees paid.
- Consultant shall not be responsible for delays or failures caused by Client, contractors, suppliers, or statutory authorities.
10. Governing Law
- This agreement shall be governed by the laws of India.
- Disputes, if any, shall be subject to the jurisdiction of Chennai courts.
